The Competition Commission of India (“CCI”), vide Press Release No. 53/2025-2026,[1] dated August 26, 2025, has approved the proposed acquisition of up to 100% (Hundred Percent) shareholding of Jaiprakash Associates Limited (“JAL”) by Adani Enterprises Limited (“AEL”) and Adani Infrastructure and Developers Private Limited (“AIDPL”), or any other entity forming part of the Adani Group.
Details of the Transaction:
- Target Entity: JAL, which is currently undergoing corporate insolvency resolution under the Insolvency and Bankruptcy Code, 2016, as per the directions of the National Company Law Tribunal (NCLT), Allahabad Bench. is a diversified infrastructure conglomerate with business interests spanning in Engineering and construction; Cement; Power; Real estate; Fertilizers; Hospitality; Sports and more.
- Acquirers:
- AEL: The flagship entity of the Adani Group with operations across sectors including energy, logistics, resources, and agro.
- AIDPL: A wholly owned subsidiary of Adani Properties Private Limited, and the holding company for the Adani Group’s real estate businesses.
