The Competition Commission of India (“CCI”), vide Press Release No.: 89/2025–26,[1] dated December 09, 2025, has approved a proposed combination involving Curefit Healthcare Private Limited, Cultfit Healthcare Private Limited, Curefit Services Private Limited, and Fitness First Luxembourg S.C.A. (FF Lux).
Overview of the Proposed Combination
The approved transaction involves a multi-step restructuring of the Curefit group’s fitness subscription and operating businesses, comprising the following key elements:
1. Demerger into Curefit Healthcare
- Demerger of the business of servicing memberships under the CultPass Elite and CultPass Pro offerings from Cultfit into Curefit Healthcare; and
- Demerger of the CultPass Elite and CultPass Pro membership subscription business from Curefit Services into Curefit Healthcare.
2. Merger and Buy-back at Cultfit Level
- Merger of the residual business of Curefit Services with and into Cultfit, resulting in a merged entity (the Cultfit Merged Entity); and
- Buy-back of shares in the Cultfit Merged Entity from all shareholders, other than Curefit Healthcare.
Parties to the Combination
- Curefit Healthcare Private Limited: Curefit Healthcare is engaged in the development of IT-enabled technologies and intellectual property in the fitness and healthcare sector. Its activities span the creation, licensing, and distribution of technologies, intellectual property, products, and services across healthcare, fitness, sports, apparel, and merchandise.
- Cultfit Healthcare Private Limited: Cultfit is a subsidiary of Curefit Healthcare and is primarily engaged in the operation of fitness centres across India.
- Curefit Services Private Limited: Curefit Services, also a subsidiary of Curefit Healthcare, provides fitness subscription services through both online and offline channels.
- Fitness First Luxembourg S.C.A.: FF Lux operates fitness and sports centres across multiple jurisdictions. In India, FF Lux is present solely through its investments in Curefit Healthcare and Cultfit and does not hold any other investments.
