CCI Update – Acquisition of SML Isuzu Limited by Mahindra and Mahindra

The Competition Commission of India (“CCI”), vide Press Release No. 33/2025-2026,[1] dated June 17, 2025, approved the proposed acquisition of SML Isuzu Limited (“SML”) by Mahindra and Mahindra Limited (“Mahindra”). The transaction involves Mahindra acquiring a controlling stake in SML, subject to customary regulatory clearances.

Parties to the Combination

1. Mahindra,is the flagship company of the Mahindra Group, a diversified Indian conglomerate. M&M operates across multiple sectors, with a strong presence in:

    • Automotive (passenger and commercial vehicles)
    • Farm equipment and agri-products
    • Financial services
    • Information technology and logistics
    • Renewable energy and aerospace
    • Real estate, infrastructure, and hospitality

    Mahindra is among the leading Indian manufacturers of utility vehicles and tractors and plays a pivotal role in India’s rural and urban mobility sectors.

    2. SML,is an Indian company engaged primarily in the manufacture and sale of commercial vehicles (CVs). Its product portfolio includes light and medium-duty trucks, buses, and special-purpose vehicles. SML serves a broad base of institutional and individual customers across India, especially in the transportation and logistics segments.

    This acquisition is expected to enhance Mahindra’s position in the commercial vehicle segment by expanding its footprint and capabilities in this space.
