CCI Update – Approval of Acquisition of Certain Shareholding of Pegatron Technology India by Tata Electronics

The Competition Commission of India (“CCI”), vide Press Release No. 91/2024-2025[1], dated December 07, 2025, approved the acquisition of a certain shareholding in Pegatron Technology Pvt. Ltd. (“Pegatron India”) by Tata Electronics Pvt. Ltd. (“TEPL”), along with the transfer of the business undertaking of TEL Components Pvt. Ltd. (“TEL”) to Pegatron India. The proposed combination involves the following steps:

(a) TEPL intends to acquire the majority shareholding in Pegatron India in 2 (two) tranches; and

(b) TEL, a wholly owned subsidiary of TEPL, proposes to transfer its business undertaking to Pegatron India.

TEPL is a wholly owned subsidiary of Tata Sons Pvt. Ltd., specializing in the manufacturing of high-precision components for large customers. It manufactures smartphone enclosures, which serve as the frames onto which other components or sub-assembles of smartphones are assembled. Additionally, TEPL, through its wholly owned subsidiary, Tata Electronics Systems Solutions (formerly known as Wistron Infocomm Manufacturing (India) Pvt. Ltd.), is engaged in providing Electronics Manufacturing Services (“EMS”) for smartphones.

Further, TEPL intends to set up a greenfield facility to provide EMS services for smartphones, through its wholly owned subsidiary, TEL.

Pegatron India, a subsidiary of Pegatron Corporation, provides EMS services for smartphones to a global smartphone brand. In addition to selling in India to the smartphone brand, Pegatron India also exports its products to various countries across North America, Asia, and Europe.
