CCI Update – Approval of Proposed Acquisition of Uprising Science Private Limited by Hindustan Unilever Limited

The Competition Commission of India (“CCI”), vide Press Release No. 115/2024-25[1] dated March 17, 2025, approved the proposed acquisition of 90.5% (ninety point five percent) shareholding in Uprising Science Private Limited (“Target”) by Hindustan Unilever Limited (“HUL” or “Acquirer”), with the remaining 9.5% (nine point five) shareholding to be acquired within approximately 2 (two) years from the completion date, as per the terms of the Share Purchase & Subscription Agreement executed between HUL and the Target.

The entities involved in the proposed acquisition are:

  • HUL, a leading manufacturer and seller of a diverse range of consumer goods, including, home care products, beauty and personal care products along with food and refreshments. HUL operates over 50 (fifty) brands across multiple categories, including Lux, Surf Excel, Fair & Lovely, Lakmé, Knorr, Kwality Wall’s, Brooke Bond, and BRU.
  • The Target, a company engaged in the manufacture and sale of beauty and personal care products, including skin care, body care, baby care, and hair care products.
